Preambleโ€‹

Thank you for choosing Laifaxin online services ("the Service"). Before using the Service, it is essential that you understand the services we provide and what we expect of you. We will use plain and accessible language to present the contents of this Agreement as comprehensively as possible, and we encourage you to take the time to familiarize yourself with each provision.

We hereby kindly remind you that provisions in this Agreement that may have a material impact on your rights and interests are highlighted in bold to draw your attention. Please pay close attention to these provisions. You should use the Service only after confirming that you have thoroughly read and clearly understood the bolded provisions of this Agreement. If you have any questions or doubts about this Agreement or the Service, please contact us at any time. We provide multiple feedback channels to provide you with satisfactory solutions:

Unless you agree to all the terms of this Agreement, you have no right to log in to or use any Laifaxin online service. Your acts of logging in, activating, and performing customer search, outbound marketing, or other usage of the Service while it is enabled may be deemed, where reasonable and lawful, to constitute your agreement to all the terms of this Agreement and your consent to be bound by them.

If you do not have full civil capacity due to age, intellect, or other factors, please read this Agreement and decide whether to agree to it in the company of your parents or other guardians.

This Agreement will help you understand the following:

The following definitions are provided so that you may more clearly understand the contents of this Agreement:

1. Laifaxin / We: Refers to Nanjing Zhiji Information Technology Co., Ltd.

2. Laifaxin Online Service Account: The account required for you to log in to and use the services provided by Nanjing Zhiji Information Technology Co., Ltd. You may register by visiting our official website https://www.laifaxin.com/ to obtain your Laifaxin Account. We also provide multiple convenient login methods, such as WeChat QR code scan, mobile phone verification code, and email verification code. These accounts and login methods also apply to websites provided by our OEM partners, ensuring you can seamlessly access and enjoy our services.

3. You or User: Refers to natural-person users who use any part or all of the email marketing, mailbox management, customer management, and other functions included in the Service.

4. Organization: Refers to legal persons as well as institutions that, although not legal persons, are lawfully established and possess certain property capable of bearing legal liability, including but not limited to government agencies, enterprises and institutions, partnerships, social groups, and other organizational users.

5. Mainland China: Solely for the purposes of this Agreement, refers to areas within the People's Republic of China other than the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and the Taiwan region.

6. Affiliates: Refer to companies that, from time to time, (directly or indirectly) control a party or are controlled by a party. Control means the right to enjoy more than 50% of the management or decision-making rights of the company (whether through voting rights, contract, or other means).

7. Software Services: Refers to the software functions, user interface design, operational processes, and other related software technical services provided by the Service, including but not limited to email marketing, mailbox management, and customer management. Regardless of the technical format or form of presentation, any technical achievement within the scientific and technological field that is practical and can be provided to users in a tangible form constitutes the software services referred to in this Agreement.

8. Copyright Holder: Any third party (including natural persons and institutions or organizations with or without legal-person status) that authorizes Laifaxin to upload, publish, reproduce, or disseminate via information networks works in which it holds copyright or for which it has obtained lawful authorization.

I. Laifaxin Online Servicesโ€‹

  1. The Service is provided based on Internet technology. The Service mainly includes: Laifaxin Subscription Services, Email Marketing Services, Mailbox Management Services, and certain services included within Customer Management Services, Laifaxin Mailbox Services, and other services that may be subsequently launched and incorporated into the scope of Laifaxin Online Services. The specific services shall be subject to those actually provided by us. Any services or products launched by us or our affiliates and/or by third-party partners who cooperate with us or our affiliates, which allow you to log in using a Laifaxin Online Service Account, fall within the scope of the Service.

  2. You acknowledge and agree that the services we provide include products or services provided by third-party partners ("Third-Party Services"). If you separately subscribe to such Third-Party Services, please use them within the effective period clearly stated in the service description. When you use Third-Party Services included in Laifaxin VIP or SVIP membership benefits, the effective usage period of such services shall not exceed the remaining validity period of your respective benefits, and shall not exceed one year at maximum.

  3. Please be aware that within the services we provide, you may need to use specific software or technical services, such as email marketing, mailbox management, and customer management.

  4. We may, based on actual operating conditions, adjust the content and form of delivery of the Service, and modify or change the fee model, fee standards, and methods for paid services. We may also begin charging for services that are currently free. Before such modifications, changes, or commencement of charging, we will perform our notification obligations in accordance with relevant laws and regulations and provide related customer support. For any questions, you may contact us using the contact information at the top of this Agreement.

  5. Using the Service will consume resources such as your terminal device and bandwidth. You shall equip yourself with the necessary software, hardware, and bandwidth, and bear the resulting costs, such as software and hardware acquisition fees, bandwidth fees, telephone fees, and mobile SMS fees (if any).

II. Account Acquisition, Security, Management, and Cancellationโ€‹

1. Account Acquisitionโ€‹

1.1. If you log in to the Service by registering a Laifaxin account, the account you obtain after filling in the information as prompted on the registration page, reading and clicking to agree to this Agreement, and completing the entire registration process, is your Laifaxin Online Service Account.

1.2. If you log in to the Service through the registration or use of an existing third-party account, your third-party account is your Laifaxin Online Service Account.

1.3. You may become a registered user or individual subscription user of the Service only through official channels recognized by Nanjing Zhiji Information Technology Co., Ltd.

1.4. If you do not have full civil capacity due to age, intellect, or other factors, please obtain the guidance and consent of your parents or other guardians before registering or applying for a Laifaxin Account and logging in to the Service.

2. Account Securityโ€‹

2.1. The Laifaxin Online Service Account shall be kept by yourself. If, due to your own acts (including but not limited to sharing an account among multiple persons, or installing illegal or unidentified programs), your account or password is unlawfully used or attacked by others, or you suffer fraud, all resulting losses and consequences shall be borne by you.

2.2. We have the right, in accordance with the law, to require you to undergo real-name authentication at any time. You shall cooperate and provide us with the relevant materials required for authentication. You agree to authorize us to verify your identity, qualifications, and other information with third parties.

2.3. Please proceed carefully during real-name authentication, ensuring that the authenticated entity is consistent with the account-using entity, and avoid any improper authentication acts such as authenticating an account under another person's name. The real-name-authenticated entity shall be deemed to have undertaken to bear responsibility for all activities under the Laifaxin Online Service Account. If disputes arise concerning the account or activities under the account (including but not limited to illegal or non-compliant acts, overdue payment of service fees, etc.), the real-name-authenticated entity shall bear full responsibility.

2.4. Certain third-party websites or services may use a Laifaxin account as one of the login methods. You shall judge for yourself the security and availability of such third-party websites or services and bear the associated risks and responsibilities.

3. Account Managementโ€‹

3.1. You shall ensure that the Laifaxin Online Service Account name and account information comply with the Provisions on the Administration of Internet User Account Names, the Provisions on the Administration of Internet User Account Information, and other relevant laws and regulations. The name of a Laifaxin Online Service Account must not contain any of the following: (i) content that violates the Constitution or laws and regulations; (ii) content that endangers national security, leaks state secrets, subverts state power, or undermines national unity; (iii) content that harms national honor and interests, or harms the public interest; (iv) content that incites ethnic hatred or discrimination, or undermines ethnic unity; (v) content that undermines national religious policy or promotes cults and feudal superstitions; (vi) content that spreads rumors, disturbs social order, or undermines social stability; (vii) content that disseminates obscenity, pornography, gambling, violence, murder, terror, or incites crime; (viii) content that insults or defames others, or infringes upon others' lawful rights and interests; (ix) other content prohibited by laws and administrative regulations. When registering and using Laifaxin Online Service Account information, you must not: (i) violate Articles 6 and 7 of the Provisions on the Ecological Governance of Network Information Content; (ii) impersonate, mimic, or fabricate the names or marks of political parties, party/government/military organs, enterprises and institutions, people's organizations, or social organizations; (iii) impersonate, mimic, or fabricate the names or marks of countries (regions) or international organizations; (iv) impersonate, mimic, or fabricate the names or marks of news websites, newspapers, broadcasting and television organizations, news agencies, or other news media, or use names or marks with news attributes such as "News" or "Report" without authorization; (v) impersonate, mimic, or maliciously associate with geographic names or marks of important spaces such as national administrative regions, sites of institutions, or landmark buildings; (vi) for the purpose of harming the public interest or seeking improper gains, deliberately embed QR codes, URLs, email addresses, contact information, or use words, numbers, symbols, or letters that are homophonic, near-homophonic, or similar; (vii) contain content that misrepresents, exaggerates, or may otherwise deceive or mislead the public; (viii) contain other content prohibited by laws, administrative regulations, or relevant national rules.

3.2. You shall ensure that the name of your Laifaxin Online Service Account is not a name registered by impersonating others, fraudulently posing as institutions, or as social celebrities.

3.3. If we discover that you have obtained an account name through false information, or that registration information such as account avatar or profile contains illegal, non-compliant, or undesirable information, we have the right to take appropriate measures.

3.4. You understand and agree that you are solely responsible for the consequences of all activities under the Laifaxin Online Service Account you use.

3.5. You may not transfer the Laifaxin Online Service Account, whether for value or without consideration.

4. Account Cancellationโ€‹

4.1. You may only apply to cancel your own Laifaxin Online Service Account, and shall do so in accordance with our relevant procedures.

4.2. You shall remain responsible for your conduct in using the Service prior to the cancellation of the account.

4.3. After successful cancellation, account information, personal identity information, customer information, and the like cannot be restored or provided.

5. Account Freezingโ€‹

5.1. If you fail to log in to the Laifaxin Online Service Account for an extended continuous period, we have the right to freeze the account. You may contact us to unfreeze the account.

III. Service Activationโ€‹

  1. The Service supports your login through a Laifaxin Online Service Account. After you accept the entire contents of this Agreement and the agreements attached to the specific services included in the Service (if any), you may access part or all of the Service using your Laifaxin Online Service Account, obtain an account for part or all of the Service, and become a lawful user of part or all of the Service.

  2. If you access part or all of the Service using multiple Laifaxin Online Service Accounts you own, you actually obtain a service account for part or all of the Service. The above service accounts are independent of each other, and no information may be transferred between them. If you or the organization you serve pays service fees for paid services subscribed under a particular service account, your other service accounts will not be able to enjoy the paid services subscribed by you or your organization for that service account.

  3. You acknowledge and agree that the sub-services included in the Service, such as Laifaxin Subscription Services, Customer Search, Email Marketing, Mailbox Management, and Customer Management, are independent of each other. The Laifaxin Online Service Account that you or the organization you serve applies to activate for one or more sub-services will only enjoy the relevant rights of those sub-services.

  4. Please be aware that the Laifaxin Online Service Account you register in Mainland China is intended only for your login and use of the Service provided to users in Mainland China. You are not entitled to log in to or use services provided by us or our affiliates and/or third-party partners cooperating with us or our affiliates to users outside Mainland China. Conversely, a service account you register or activate outside Mainland China is intended only for your login and use of services provided by us or our affiliates and/or our partners to users outside Mainland China; you are not entitled to log in to or use the Service provided to users in Mainland China. We or our affiliates have the right to determine, based on the IP address, device identifier, and other information displayed when you log in to and use the Service, whether you are a Mainland China user.

  5. You acknowledge and agree that, while we cooperate with third-party account providers, you use the third-party account to access the Service based on your trust in that third-party account provider. The validity, accuracy, security, and availability of such third-party account shall be verified by the third-party account provider itself. If, due to reasons attributable to the third-party account provider, the account cannot be logged in, the Service cannot be obtained through such account, or the third-party account, password, or any of your contents or information are leaked or misappropriated, you shall contact that third party for handling.

  6. You acknowledge and agree that we are not responsible for safekeeping your account materials used to access the Service through third-party accounts, and do not provide password retrieval services for third-party accounts other than Laifaxin accounts. If your third-party account name or password is forgotten, lost, or misappropriated, you may retrieve the lost third-party account information through the help channels expressly provided by the third-party account provider.

  7. You acknowledge and agree that if one or more services activated under your Laifaxin Online Service Account were allocated to you by the organization you serve, the organization you serve has the right to revoke such allocated services at any time, after which you will no longer be able to continue using the allocated services through that account. Any disputes arising therefrom and any losses caused to you shall be borne by the organization you serve.

  8. You acknowledge and agree that we shall bear no liability if you are unable to use the paid services you have subscribed to because of the loss of your Laifaxin Online Service Account.

  9. If you access the Service using a third-party account and the third-party account provider terminates cooperation with us, we will use all reasonable efforts to give advance notice and guide you in transferring the Service to another Laifaxin Online Service Account you already have (if any) or to another Laifaxin Online Service Account that you cooperate to activate. If you do not consent to the above transfer, we will terminate the Service for you.

IV. Geographic Scope of Licensed Useโ€‹

Under any circumstances, your use of a Laifaxin Online Service Account to log in to and use any part or all of the Service or any of the specific sub-services included in the Service outside Mainland China constitutes use that exceeds the scope of authorization. Accordingly, if you exceed the scope of authorization in using any part or all of the Service or any specific sub-service included in the Service, Nanjing Zhiji Information Technology Co., Ltd. does not warrant or guarantee whether you can log in to or normally use any part or all of the Service or any specific sub-service included in the Service.

V. Code of User Conductโ€‹

1. Account Use and Loginโ€‹

1.1. You may use a single login method (such as a unified mobile phone number, WeChat account, etc.) to log in to different Laifaxin Online Service Accounts, including but not limited to personal accounts, enterprise accounts allocated by organizations, etc. Before logging in, please confirm the account list displayed on the login page and ensure that you select the correct account for login and payment operations.

1.2. Laifaxin sets reasonable limits on the number of devices used to access the Service and the frequency of remote logins to ensure account security and the normal operation of the Service.

1.2.1. The total number of devices logged in via a single Laifaxin Online Service Account must not exceed 5, and devices of the same type must not exceed two. Specific device limits set for the included sub-services shall be subject to the provisions of the respective services.

1.2.2. Each Laifaxin account supports login and use on only one device. For enterprise users, Laifaxin Enterprise Edition supports multiple employees to collaborate using their respective accounts on different devices.

1.3. For Laifaxin Online Service Accounts with frequent occurrences of remote login, Laifaxin reserves the right to suspend or freeze the account as circumstances warrant.

2. Content Publishing Standardsโ€‹

2.1. Any content published using Laifaxin services must not violate national laws and regulations. Specifically prohibited content includes, but is not limited to:

Violating the basic principles established by the Constitution; Endangering national security, divulging state secrets, subverting state power, or undermining national unity; Harming national honor and interests; Distorting, insulting, or harming the image of heroes and martyrs, or infringing upon their lawful rights and interests such as name, image, or reputation; Promoting terrorism or extremism; Inciting ethnic hatred or discrimination, or undermining ethnic unity; Undermining national religious policy or promoting cults and feudal superstitions; Spreading rumors or false information that disturbs social order and stability; Spreading obscene materials, gambling, violence, terrorist activities, or inciting crime; Insulting or defaming others, or infringing upon their lawful rights and interests; Containing other content that violates laws and administrative regulations.

2.2. If Laifaxin discovers or receives reports that any content you publish has the above issues, we will take necessary measures such as deletion or blocking, and may, depending on the severity of the circumstances, impose penalties such as warnings, restrictions on use, or account suspension. If necessary, Laifaxin will report relevant information to authoritative departments and actively cooperate with relevant investigations. You shall understand and agree that all resulting legal liabilities shall be borne by yourself.

3. Email Service Standardsโ€‹

3.1. If you choose to enable Laifaxin's cloud backup service, we will automatically synchronize and back up your email data to the cloud so that it can be restored in case of data loss.

3.2. Based on your membership level, Laifaxin will allocate a certain amount of email storage space for you. Laifaxin VIP members or SVIP members will enjoy more storage space based on their respective levels.

3.3. The size of emails and attachments you store in the cloud will also be set according to your entitlements as a Laifaxin VIP member or SVIP member.

3.4. To improve email management efficiency, Laifaxin provides bulk email download services to qualified enterprise users.

3.5. The team mailbox capacity and team member quota you enjoy shall correspond to the service entitlements you have subscribed to. If you need to expand team size or mailbox capacity, you may make corresponding adjustments by purchasing upgrade services.

4. Other Standardsโ€‹

4.1. You shall register, log in to, and use Laifaxin services through https://www.laifaxin.com or third-party OEM platforms recognized by Laifaxin. Accounts, credits, membership benefits, etc., obtained through unauthorized channels will be deemed invalid. If Laifaxin detects such conduct, we reserve the right to take immediate measures, including but not limited to deleting relevant information, canceling accounts, and clearing credits. Any adverse consequences arising therefrom shall be borne by you personally.

4.2. The Laifaxin services and accounts you obtain are intended for your personal use only. Without the prior written consent of Laifaxin, you may not transfer, lease, lend, or sell the services or accounts to others. Once any non-compliance is discovered, Laifaxin will take measures including but not limited to canceling the service and canceling the account.

4.3. Account information, credits, membership status, and the like obtained through Laifaxin services may not be used for any form of illegal transactions or profit-making activities. We will strictly monitor such conduct. Once non-compliant use is discovered, Laifaxin will immediately take measures such as freezing credits and suspending accounts, and reserves the right to pursue legal liability.

4.4. Use Rights to Software Services

4.4.1. The software services you obtain from the Laifaxin service are licensed to you on a non-exclusive, non-transferable, personal-use basis. You may not reproduce or republish any part of the software services for commercial purposes.

4.4.2. You shall use the software services solely for personal study, research, or other lawful and non-commercial purposes. If you wish to use these software services for commercial purposes, you must comply with the relevant commercial licensing agreement.

4.4.3. Certain software services may be restricted to online use, and the specific usage methods shall follow the specific guidance of each service.

4.4.4. Any commercial software services you use shall be subject to a commercial licensing agreement signed between you and Laifaxin.

4.4.5. When using any software services and their content provided by Laifaxin, you shall ensure that your conduct will not infringe upon the rights of others or violate laws and regulations.

4.5. When using the software services provided by Laifaxin, you must recognize and agree that all intellectual property rights, including copyright, belong to the original authors or rights holders, and you may not infringe upon their lawful rights without permission. Activities beyond the scope of personal use require the prior written consent of the rights holder. Legal liabilities and financial losses arising from violations of this provision shall be borne by you.

4.6. You undertake that, when using Laifaxin, you will not engage in the following conduct:

4.6.1. You shall not use the Service for any illegal activities;

4.6.2. You shall not instigate or participate in any acts that destroy or interfere with the operation of the Service;

4.6.3. You shall not take actions harmful to minors;

4.6.4. You shall not, by any means, including but not limited to credit-farming or activity manipulation, unlawfully infringe upon the rights of Laifaxin;

4.6.5. You shall not infringe upon the lawful rights of any third party;

4.6.6. You shall not engage in activities that disrupt the normal operation and order of Laifaxin services.

VI. Advertising Policyโ€‹

1. Advertisement Publishing and Acknowledgmentโ€‹

1.1 You agree and acknowledge that Nanjing Zhiji Information Technology Co., Ltd. (hereinafter referred to as "Laifaxin"), in providing Laifaxin online services (including customer search, email marketing, mailbox management, customer management, etc.), has the right to display relevant advertisements on the Laifaxin website (https://www.laifaxin.com), within any product, any page, partner OEM platforms, and any other appropriate location. Such advertisements may relate to Laifaxin's own services or to third-party products and services.

1.2 You hereby confirm and undertake to carefully evaluate the advertising content displayed within the Service. Unless otherwise expressly provided by national law, you shall bear full responsibility for any actions taken based on such advertisements.

1.3 You understand that, as part of Laifaxin online services, the advertising content may be protected by intellectual property rights. You shall not, without authorization, reproduce, modify, distribute, disseminate, or create derivative works based on such advertising content.

VII. Terms for Minorsโ€‹

1. Protection of Minorsโ€‹

1.1 Laifaxin is fully aware that the protection of minors is of critical importance. Therefore, we recommend that minor users use the services provided by Laifaxin only under the guidance and supervision of, and with the express consent of, their guardians.

1.2 Guardians shall be responsible for supervising and guiding the conduct of minors in the course of using Laifaxin services. Guardians shall ensure that the minors under their guardianship understand and comply with Laifaxin's user agreement, terms of use, and relevant rules. All acts of minors when using the services shall be deemed to have received the consent and acknowledgment of the guardians.

2. Bearing of Consequencesโ€‹

When minors use Laifaxin services, the minors themselves and their guardians shall jointly bear the consequences that may arise from the use of such services, including but not limited to any legal liability resulting from acts in breach of this Agreement.

3. Reasonable Use and Warningโ€‹

Laifaxin reminds minor users to reasonably use online resources, strengthen their studies, distinguish the online world from the real world, prevent Internet addiction so as not to affect normal study and life, and cultivate healthy Internet habits.

VIII. Breach Provisions and Liabilityโ€‹

1. Circumstances of Breachโ€‹

1.1 In the course of using Laifaxin services, any of the following circumstances shall be deemed a user breach:

The conduct violates currently effective laws and regulations; The conduct harms the lawful rights and interests of Laifaxin or third parties; Failure to comply with the provisions of the service agreement.

2. Measures for Handling Breachesโ€‹

2.1 The user agrees that, upon a breach, Laifaxin has the right to adopt, based on the nature and consequences of the breach, measures including but not limited to the following:

Implementing deletion, blocking, or disconnection of relevant information; Suspending the user's right to use the account or immediately terminating the provision of services; Terminating the service agreement in advance, without refund of any service fees, and treating the unused service fees as liquidated damages payable to Laifaxin.

3. Liability for Damagesโ€‹

3.1 The user shall understand that its breach may cause harm to Laifaxin or its affiliated enterprises or expose them to legal liability. In such cases, the user and the organization to which it belongs or which it represents shall fully indemnify Laifaxin and its affiliated companies for all gains obtained, all losses suffered, and all related legal expenses arising from the user's breach, including but not limited to litigation costs, investigation costs, attorney's fees, and notary fees.

4. Disclaimerโ€‹

4.1 Laifaxin shall not be liable for any damages or third-party losses arising from a user's breach (including but not limited to losses resulting from data loss, service interruption, or inability to use the services), and is under no obligation to provide any form of data recovery or backup services.

5.1 Laifaxin reserves the right to transfer conduct suspected of being illegal or in breach, together with relevant evidence, through legal channels to judicial authorities, and to require the breaching party to bear the corresponding legal liability.

IX. Limitation of Liabilityโ€‹

1. Uncontrollable Circumstancesโ€‹

1.1 You may encounter the following uncontrollable circumstances which may prevent you from normally logging in to your Kingsoft Office online service account or prevent us from providing the services as expected. We sincerely apologize for any inconvenience caused and ask for your understanding:

Regular or irregular system maintenance and updates carried out to optimize and secure the services; Server failures affecting normal services; Sudden equipment failures or communication line problems; Line failures of network providers; Emergency measures necessary for reasons of national security or personal safety; Compliance with instructions or requests from government departments; Force majeure events and other causes attributable to third parties.

2. Technical and Conditional Limitsโ€‹

2.1 The services provided by Laifaxin are based entirely on the currently achievable level of technology and conditions. We endeavor to provide you with stable and continuous services to the greatest extent possible, but we cannot guarantee that the services are entirely free of defects. You agree and accept that, even where technical defects exist, so long as they constitute industry-unavoidable issues, they shall not be regarded as breaches. In such circumstances, we look forward to working with you to find solutions.

3. Client Differencesโ€‹

3.1 You may access our services through different clients, but you understand and agree that, due to differences among clients (such as compatibility, display effects, and operational policy adjustments), there may be variations in service content across clients. The services we provide shall be subject to those actually provided.

4. Service Fulfillmentโ€‹

4.1 To the maximum extent permitted by law, we do not warrant that the services provided will fully satisfy all of your requirements or meet all of your expectations.

5.1 You shall properly use the software services we provide in accordance with this Agreement. Provided that you have not breached any other agreement or rules signed with us, if you face third-party copyright infringement claims arising from your use of the software services, we will provide you with necessary legal support. You may also seek compensation from us for direct losses, but our maximum liability shall not exceed the fees you have paid to us. If you continue to use the software services after receiving notice or becoming aware that they may infringe third-party rights, this compensation undertaking shall not apply.

6. Third-Party Servicesโ€‹

6.1 Please be aware that the Third-Party Services included within the Service are provided by relevant third parties. We do not review or provide any warranty regarding the content, quality, provider qualifications, or service capabilities of services provided by third parties. If any disputes or losses arise from your use of third-party products or services, you shall claim only against the third-party service provider, and that provider shall independently bear all liability.

7. Limitation of Damages Liabilityโ€‹

7.1 In no event shall we be liable to you or any other individual or organization for any form of loss of profits, punitive damages, special, indirect, or consequential damages, costs, or losses arising out of the services governed by this Agreement, even if we have been advised of the possibility of such damages.

X. Termination of Serviceโ€‹

1. Termination Notice and Refundโ€‹

1.1 If, due to the needs of company operations, we must terminate one or more paid services that you have previously purchased and not yet used in full, we will carry out the relevant termination notice procedures in accordance with the laws and regulations of China. For the portion of services you have not used, we will provide a corresponding alternative or reasonable compensation, ensuring that your rights and interests are protected; details will be notified separately. If you have any questions or needs, you may contact us using the contact information provided at the top of this Agreement.

2. Service Fees and Refund Policyโ€‹

2.1 The services we provide represent a series of network goods and virtual goods. The service fees you pay are equivalent to the price of the network goods you purchase, and do not constitute any form of prepayment, deposit, security deposit, stored-value card, or the like. Except in the situation described in Article 10, Paragraph 1, in any case, we generally do not refund service fees that have been paid. In case of conflict between this provision and any other part of this Agreement, this provision shall prevail. Be reminded that, before purchasing any membership services, privilege packs, benefit packs, resource packs, or other items under the Service, please carefully confirm important information such as your account information, the details of the services purchased, prices, and validity periods.

XI. Updates to and Acceptance of the Agreementโ€‹

1. Prerequisites for Agreement Updatesโ€‹

1.1 You fully understand and agree that, as our services develop and relevant laws and regulations change, this Agreement and the specific terms for each individual service may be updated from time to time.

2. Handling of Disagreement with Term Changesโ€‹

2.1 If the updated terms are not agreed by you, please cease using our services from the date the Agreement or the relevant individual service terms are changed. If you continue to use the services after the updated terms take effect, you will be deemed to have read, understood, and fully accepted the contents of the amended terms.

3. Effective Methods of Changeโ€‹

3.1 Any changes to this Agreement will be released through formal channels. Unless otherwise expressly agreed in a written paper agreement signed between you and us, any change shall be effective only through the new agreement we publish. Other modifications to the Agreement that have not been formally released by us are unofficial and shall not be binding on you or us.

XII. Rights Protectionโ€‹

1. Intellectual Property Protection Measuresโ€‹

  1. We fully recognize the importance of intellectual property and strictly comply with Chinese laws, regulations, and relevant normative documents, and have established a set of effective intellectual property protection measures and processes. If you believe that the content of our services infringes upon your lawful rights and interests, you have the right to submit a written notice to us. You shall clearly state the following information in the notice:

Your name, contact information, and address; The specific name and network address of the content in dispute; Relevant evidence preliminarily proving the infringement.

The written notice must be signed in handwriting and may be submitted in the following ways:

If the notice is incomplete, we will be unable to take corresponding measures. You shall ensure the authenticity, accuracy, and completeness of the notice content, and bear the legal liability that may arise from any untrue notice.

2.1 If we take measures to delete or disconnect links based on the written notice you submitted, but the copyright holder believes that the content does not infringe, the copyright holder has the right to submit a written statement to us applying for restoration of the deleted content or link. Upon receipt of the written statement from the copyright holder, we will promptly restore the relevant content or link and forward such statement to you, thereby completing our obligation to convey the notice. The copyright holder shall warrant the authenticity, accuracy, and completeness of the written statement it submits.

XIII. Noticesโ€‹

1. Methods of Noticeโ€‹

1.1 We will use multiple methods to send notices to you, including but not limited to publishing announcements on websites related to the Service, sending emails, sending regular in-site messages, or sending mobile phone SMS. All important matters will be notified through these methods.

2. Delivery of Noticesโ€‹

2.1 Any notice shall be deemed delivered to the recipient on the date the email is sent, the website announcement is published, the in-site message is sent, or the mobile SMS is sent. If you fail to receive the notice because the email address you provided is invalid, your mailbox has email filtering enabled, or for other similar reasons, we shall bear no liability.

XIV. Miscellaneousโ€‹

  1. This Agreement constitutes the legal agreement between you and Nanjing Zhiji Information Technology Co., Ltd. (hereinafter referred to as "Laifaxin") regarding your use of Laifaxin services. The effective date of this Agreement shall be the date set out at the top of the Agreement. If no effective date is expressly set out in the Agreement, this Agreement shall be deemed effective on the seventh day from the date the Laifaxin service goes live. This Agreement is legally binding on both parties immediately upon your clicking the "Agree" button, with the specific effective time being the time recorded by our system.

  2. Even if you do not click the "Agree" button, the following acts may, where reasonable and lawful, be deemed to constitute your acceptance of all the terms of this Agreement:

2.1 Clicking to log in to Laifaxin services; 2.2 Actual use of Laifaxin services; 2.3 Actual use of any products or services provided when using Laifaxin services; 2.4 Actual use of any products or services provided by third parties in conjunction with Laifaxin services.

  1. The signing, execution, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China.

  2. In the event of any dispute between the parties regarding the content or execution of this Agreement, the parties shall first endeavor to resolve the dispute through friendly negotiation. If negotiation fails to reach an agreement, either party shall have the right to bring a lawsuit before the people's court with jurisdiction at the place of registration of Nanjing Zhiji Information Technology Co., Ltd.

  3. If any provision of this Agreement is, for any reason, deemed wholly or partially invalid or unenforceable, the invalidity of such provision shall not affect the validity and binding force of the other provisions of this Agreement.

  4. We sincerely welcome you or the organization you represent to apply to activate individual services provided by the various dedicated channels or platforms of Laifaxin and its affiliated companies. If you choose to use any specific individual service, you must, while complying with this Agreement, simultaneously agree to and comply with the relevant agreement of that individual service.
